Cabot has a long and proud tradition as a global business leader with an ingrained set of core values of integrity, respect, innovation and competitiveness. Those values, as set forth in Cabot's Vision and Values, guide the behavior of all Cabot employees. The Global Ethics and Compliance Standards provide more specific guidance for Cabot employees regarding matters of ethics and legal compliance. They provide a set of basic principles, outlining our responsibilities to one another, our customers, our shareholders, those with whom we do business, and the communities in which we operate. 

Waivers

On September 7, 2010, Mr. Prevost joined the Board of Directors of General Cable Corporation, a Delaware company based in Highland Heights, Kentucky. Mr. Prevost will serve on the audit, compensation and corporate governance committees of General Cable's board and receive standard board compensation from General Cable for his service as a director. General Cable is a carbon black customer of Cabot. Cabot's Global Ethics and Compliance Standards provide that an officer of the Company may not receive payment for services from any business entity that does business with the Company unless approval is obtained from the Audit Committee of the Company's Board of Directors. After reviewing such facts and circumstances as it deemed relevant, the Audit Committee approved Mr. Prevost joining the General Cable board of directors. The Governance and Nominating Committee, which is responsible for reviewing the outside commitments of each director to ensure such commitments do not interfere with the diligent performance of his or her duties, believes that the Company's interests will be well served from the experience Mr. Prevost will obtain from his serving on General Cable's board of directors, and fully supports Mr. Prevost in undertaking this additional commitment.
